Nagori Soft Contribution Terms

1. Scope and Definitions
- These Terms apply to “Nagori Soft Contribution” (“Contribution”) offered under the Nagori Soft name.
- “Provider” means the individual, company, or other entity that offers Contribution under the Nagori Soft name.
- “User” or “you” means an individual or organization that makes a Contribution or uses a Contribution Code.
- “Contribution Code” means a code issued in connection with a Contribution for confirming or recording that Contribution in supported Nagori Soft software.
- “Receipt” means signed confirmation information that may be issued by a Nagori Soft verification service following valid verification of a Contribution Code.
- These Terms supplement the basic Contribution provisions of the Nagori Soft Software License and govern requests, payments, Contribution Codes, Receipts, and related mechanisms.
- These Terms do not themselves modify the license grant applicable to Nagori Soft software.
2. Nature and Optional Status of Contribution
- Contribution is a mechanism through which Users may voluntarily provide monetary support for the development, maintenance, operation, and continued availability of Nagori Soft software.
- Contribution is not payment in exchange for software, additional features, services, or other consideration, and it is not the purchase of a software license.
- Contribution is entirely optional. Choosing not to make a Contribution does not restrict normal use of Nagori Soft software under the Nagori Soft Software License or other applicable terms.
- Contribution is not a condition for downloading, installing, launching, or using the normal functionality of Nagori Soft software.
- Supported software may display a Contributor indicator, Contribution record, or other expression of appreciation or record after a Contribution. These are incidental acknowledgements and records of the Contribution and are not provided as consideration granting a right to software, features, services, or other benefits.
- Nagori Soft does not guarantee that a Contribution qualifies for a charitable-contribution deduction or other particular tax treatment. Users are responsible for obtaining any tax advice or confirmation they consider necessary.
3. Relationship to Software Use and the License
- Use of software remains governed by the Nagori Soft Software License and any other terms applicable to that software.
- Making a Contribution does not automatically expand the scope of the software license.
- Choosing not to make a Contribution does not result in time limits, material feature restrictions, or usage-count limits on normal free use, unless different terms are lawfully and expressly established for a particular software product.
4. Requesting and Completing a Contribution
- A User may request to make a Contribution after reviewing the amount, currency, payment method, and other information presented by Nagori Soft or a designated third-party payment provider.
- The Contribution amount, payment method, and other material transaction information will be made available before the User takes the final action to make the Contribution.
- A Contribution is completed when the User confirms the request, the payment is successfully processed, and Nagori Soft or the designated payment provider confirms completion of the payment. If a more specific completion point is expressly presented in the applicable payment flow or required by the payment provider’s terms, that presentation will apply.
- If payment is declined, cancelled, or remains incomplete, the Contribution may not be completed.
5. Amounts, Payment, and Third-Party Payment Services
- Available Contribution amounts and currencies will be displayed when a Contribution is made.
- Payment methods will be those presented by Nagori Soft or the applicable third-party payment provider.
- Where taxes, transaction fees, or other amounts are payable by the User, required information will be disclosed before the Contribution is finalized in accordance with applicable law.
- Where a third-party payment provider is used, that provider’s terms of service, privacy policy, and other applicable conditions may also apply to the payment process.
- As a general principle, information obtained by Nagori Soft from a payment provider will be limited to what is reasonably necessary to confirm the Contribution, issue a Code, process a refund, respond to inquiries, and operate the Contribution mechanism. The Nagori Soft Privacy Policy applies to such information handled by Nagori Soft.
6. Issuance and Scope of Contribution Codes
- Under the current Contribution mechanism, a Contribution Code is issued in connection with a completed Contribution.
- A Contribution Code is not a software license key and is not required to unlock normal application functionality.
- A Contribution Code is used by supported Nagori Soft software to verify the Contribution and to retain a local record or expression of appreciation relating to that Contribution.
- The products or scope to which a Contribution Code applies are determined by the information presented when the Code is issued or by the applicable Code specification. Unless expressly stated otherwise, a Code is not guaranteed to be valid for every Nagori Soft product.
- After completion of the Contribution has been confirmed, the Contribution Code will be provided through the method displayed during the Contribution process, the applicable payment or communication method, or another method specified by Nagori Soft.
- If delivery of a Code is temporarily delayed or affected by a technical issue, the User may contact Nagori Soft using the contact information in Section 18.
7. Code Registration and Contribution Records
- Supported software may allow a User to explicitly enter a Contribution Code and verify it through a Nagori Soft verification service.
- Following successful verification, supported software may store a signed Receipt or other confirmation information locally on the User’s device.
- Such confirmation information records the Contribution and may be used to display an expression of appreciation. It is not license information required to enable normal application functionality.
- Where supported software provides an option to delete the local Contribution record, that action ordinarily deletes only the local record and does not, unless expressly stated otherwise, revoke the Contribution Code on the server.
- Specific storage and deletion behavior for a Receipt or other local record will be described in applicable Product-Specific Privacy Information.
8. Code Management, Loss, and Reissuance
- Users should take reasonable care not to expose a Contribution Code unnecessarily to third parties.
- Where necessary for security or operational purposes, Nagori Soft may revoke on the server a lost, unusable, or potentially misused Code.
- If a User loses a Contribution Code, Nagori Soft may provide redisplay, reissuance, or a replacement Code where Nagori Soft can reasonably verify the Contribution or related transaction. Nagori Soft may request transaction information or other verification reasonably necessary for that purpose.
- If a Code is reissued or replaced, Nagori Soft may revoke the old Code for security or operational reasons.
- These Terms do not guarantee reissuance in every case. Reissuance may be unavailable where the Contribution or its relationship to the requesting User cannot reasonably be verified or where reissuance would otherwise be inappropriate.
9. Invalid Codes, Revocation, and Misuse
- If a Contribution Code is invalid, revoked, or outside the scope applicable to a particular product, the Nagori Soft verification service may reject a new registration or later verification attempt.
- Where reasonably necessary to address unlawful acquisition, erroneous issuance, payment cancellation or refund, chargeback, legal requirements, or other legitimate circumstances, Nagori Soft may prevent future verification of a Code in accordance with applicable law and applicable transaction obligations.
- Revocation of a Code on the server may not technically cause a previously and validly registered signed Receipt or other Contribution record stored on a User’s device to be remotely deleted.
- If such a local record technically remains, it does not change the legal or transaction status of a refund, cancellation, or other transaction event and does not create additional rights or benefits.
- Revocation of a Code or deletion of a Contribution record does not restrict normal application functionality.
10. Refunds, Cancellations, Duplicate Contributions, and Errors
- Cancellation or refund requests after completion of a Contribution will be handled in accordance with applicable law, applicable third-party payment-provider terms, and the circumstances of the request. Nothing in these Terms restricts any refund or other right provided by applicable law.
- Except where a refund is required by law or expressly provided in the applicable transaction information, these Terms do not guarantee a particular refund result solely because Contribution is voluntary monetary support rather than payment for software, features, or services.
- If a User makes a duplicate Contribution, enters an incorrect amount, or makes another operational mistake, the User should contact Nagori Soft using the information in Section 18 as soon as reasonably possible. Nagori Soft will respond based on applicable law, payment-provider terms, and reasonably verifiable transaction information.
- If a refund, payment reversal, or chargeback occurs, Nagori Soft may revoke the corresponding Contribution Code and prevent future verification of that Code.
- A Receipt already stored on a device may not be technically deleted automatically in the circumstances described above. Sections 9.3 and 9.4 apply to such a local record.
11. Rights and Benefits Not Granted by Contribution
- Unless expressly stated otherwise, a Contribution does not grant:
(a) additional application features;
(b) priority or individual technical support;
(c) future updates or new Versions;
(d) additional source-code rights;
(e) copyright or other intellectual property rights; or
(f) decision-making rights concerning Nagori Soft’s operation or development direction.
- A Contributor indicator or other expression of appreciation or record does not grant any additional right or benefit described above.
12. Changes to or Discontinuation of Contribution
- Nagori Soft may change payment methods, Code mechanisms, supported products, or other aspects of future Contributions, or may stop accepting new Contributions.
- Changes to or discontinuation of Contribution will not by themselves restrict normal free use of Nagori Soft software.
- Legal obligations or express commitments relating to a Contribution that has already been completed are not extinguished merely because the Contribution mechanism is later changed or discontinued.
13. Privacy and User Information
- User Information handled in connection with Contribution is subject to the Nagori Soft Privacy Policy and, where applicable, Product-Specific Privacy Information.
- Payment information and other information independently collected or processed by a third-party payment provider may be subject to that provider’s privacy policy and other terms.
- Information processed when supported software verifies a Contribution Code will be described in the applicable Product-Specific Privacy Information.
14. Disclaimers, Liability, and Mandatory Law
- To the maximum extent permitted by applicable law, Nagori Soft is not responsible for failures of third-party payment providers, communications networks, or other third-party services that are not attributable to Nagori Soft.
- Where damage results from Nagori Soft’s ordinary negligence, Nagori Soft will not, to the extent permitted by applicable law, be liable for special, indirect, incidental, or consequential damages.
- The preceding limitation does not apply to intentional misconduct or gross negligence by Nagori Soft, or to any liability that cannot lawfully be excluded or restricted.
- Nothing in these Terms excludes or restricts any right, remedy, guarantee, or protection that cannot lawfully be excluded or restricted under mandatory applicable law.
15. Changes to These Terms
- Nagori Soft may revise these Terms in response to changes in law, payment methods, the Contribution mechanism, or other relevant circumstances.
- Revised Terms will generally apply to Contributions made after the revised Terms become effective.
- Any material adverse change to rights or obligations relating to a Contribution already completed will be subject to applicable law.
16. Governing Law and Jurisdiction
- These Terms are governed by and construed in accordance with the laws of Japan.
- Disputes arising out of or relating to these Terms or Contribution will be subject to the jurisdiction of a court in Japan having jurisdiction under Japanese law.
- Notwithstanding the foregoing, nothing in this Section deprives a User, particularly a consumer, of mandatory protections relating to applicable law, jurisdiction, remedies, or other rights provided by the law of the User’s habitual residence or another applicable jurisdiction.
17. Language
- Both the Japanese and English versions of these Terms are authoritative versions.
- The two language versions are intended to have the same content and legal effect.
- If there is any difference in wording or question of interpretation between the Japanese and English versions, they will be read together and interpreted in the manner that best gives effect to their common intent. Where applicable law requires a particular treatment, that law will apply.
