Nagori Soft Paid Optional Component Terms

1. Scope

  1. These Terms govern the purchase and use of a paid optional component offered by Nagori Soft for software distributed under the Nagori Soft Software License.
  2. The applicable Product Schedule identifies the component, price, entitlement scope, device limit, refund policy, and any product-specific requirements.
  3. These Terms, the Product Schedule, the Nagori Soft Software License, and the applicable privacy information together govern the component. The Product Schedule controls for product-specific matters; these Terms control for paid-component matters; the Software License otherwise continues to apply.

2. Separate Nature of the Component

  1. A paid optional component is separate from the base software. The availability of a paid component does not make the base software paid or restrict normal free use of the base software.
  2. A purchase grants only the entitlement described in the Product Schedule. It does not transfer copyright, source-code rights, trademarks, ownership, or rights to future major versions.
  3. A purchase is not a Nagori Soft Contribution. A Contribution is voluntary support, is not a purchase, and does not unlock a paid component.

3. Product Information and Order

  1. Before purchase, Nagori Soft will present or link to the applicable price, tax treatment, one-time or recurring nature, entitlement scope, device limit, refund policy, these Terms, the Product Schedule, and applicable privacy information.
  2. You must review the final checkout information and correct any errors before submitting the order.
  3. Availability, currency, payment methods, and legally required disclosures may vary by location or checkout provider.

4. Payment Provider and Merchant of Record

  1. Paid optional component transactions use Stripe Managed Payments. At checkout, Stripe or its designated service, including Link where shown, acts as merchant of record for the transaction and processes payment, applicable indirect taxes, fraud and dispute handling, transaction-level support, and order administration under its own terms and privacy notice.
  2. Nagori Soft remains responsible for the product, entitlement, activation, product support, and the promises expressly made in these Terms and the Product Schedule.
  3. Payment credentials such as a complete card number and card verification code are entered with and processed by the payment provider. Nagori Soft does not store them.
  4. A checkout success page or redirect is not conclusive evidence that payment or entitlement issuance succeeded. Server-confirmed payment and entitlement records control.

5. Price and Taxes

  1. The price and currency are stated in the Product Schedule and checkout. Unless the checkout expressly states otherwise, the displayed consumer price includes applicable indirect taxes for the transaction.
  2. Bank, card issuer, currency-conversion, or similar charges imposed independently by a third party are outside Nagori Soft's control.

6. Entitlement and License ID

  1. After confirmed payment, Nagori Soft issues a perpetual entitlement for the version scope stated in the Product Schedule, subject to these Terms and applicable law.
  2. Nagori Soft may issue a License ID, signed receipt, or equivalent evidence. A License ID identifies an entitlement; it is not an account or password.
  3. The entitlement is personal to the purchaser or purchasing organization and may not be resold, sublicensed, transferred, shared as a service, or used to bypass a device limit, except where mandatory law requires otherwise or Nagori Soft expressly permits it.

7. Activation and Devices

  1. The Product Schedule states the maximum number of simultaneously registered devices.
  2. Activation may associate an entitlement with a random device identifier and a device public key. Nagori Soft does not require an invasive hardware fingerprint.
  3. You may deactivate a device through the provided purchase-management function and use the released slot on another eligible device.
  4. You are responsible for protecting the local device identity, License ID, purchase email, and verification messages from unauthorized use.

8. Trial

  1. A trial, if offered, is governed by the Product Schedule. No payment card is required unless expressly stated there.
  2. A trial begins only after the product-specific activation conditions are completed and confirmed by the Nagori Soft server. Download, installation, opening the app, or merely requesting activation does not start the trial unless the Product Schedule says otherwise.
  3. A trial may require an internet connection to start and refresh its state. Manipulating clocks, local records, device identity, or requests to extend or repeat a trial is prohibited.

9. Internet and Technical Requirements

  1. Purchase, initial activation, trial start, entitlement refresh, device management, recovery, and refund may require a compatible app, supported operating system, and internet access.
  2. A locally stored signed receipt may temporarily permit offline use as described in the Product Schedule. Offline status may delay the effect of a refund, device deactivation, or another entitlement change until the next successful refresh.
  3. Nagori Soft does not promise compatibility with every device, operating-system configuration, driver, security policy, or third-party component.

10. Recovery and Transactional Email

  1. No Nagori Soft account or password is required. Purchase management or recovery may use the purchase email, License ID, and a short-lived verification code.
  2. Transactional messages may be delivered through Resend from a Nagori Soft notification domain. Delivery can be delayed or prevented by mail systems outside Nagori Soft's control.

11. Refunds

  1. The Product Schedule states any voluntary self-service refund right. This is in addition to rights that cannot be excluded under applicable law.
  2. An approved refund revokes the paid entitlement and active device authorizations. A refunded user may continue using the base software and any still-valid trial as stated in the Product Schedule.
  3. Refund processing time after approval may depend on the payment provider and financial institution.

12. Prohibited Conduct

You must not forge or alter an entitlement or signed receipt; evade trial or activation controls; use another purchaser's entitlement without authorization; interfere with purchase, refund, recovery, or device-management systems; or use the component unlawfully.

13. Suspension and Revocation

Nagori Soft may suspend or revoke an entitlement where payment is reversed or refunded, a charge is disputed, fraud or unauthorized use is reasonably suspected, these Terms are materially breached, or action is required by law. Where reasonably possible and legally permitted, Nagori Soft will use proportionate measures and provide a reasonable opportunity to resolve a curable issue.

14. Updates and Future Versions

  1. The purchase covers only the version scope stated in the Product Schedule. Future major versions, additional products, and new paid components are not included unless expressly stated.
  2. Nagori Soft may provide maintenance updates for the covered version but does not promise perpetual updates, support, or compatibility, except as required by law or expressly promised.

15. Warranties and Liability

The warranty disclaimers, liability limitations, mandatory-law protections, and statutory rights in the Nagori Soft Software License apply to the component. Nothing in these Terms excludes or limits rights or remedies that cannot lawfully be excluded or limited.

16. Changes

  1. Nagori Soft may revise these Terms for future purchases or future versions. The terms shown for a completed purchase continue to govern that purchase unless you separately agree to a change or applicable law permits otherwise.
  2. Nagori Soft may make changes necessary for security, legal compliance, or continued operation, provided that acquired rights are not materially reduced contrary to applicable law.

17. Governing Law and Disputes

The governing-law and jurisdiction provisions of the Nagori Soft Software License apply, without depriving a consumer of mandatory protections or forums available under applicable law.

18. Language and Contact

  1. Japanese and English versions are authoritative. If they conflict, they will be interpreted to preserve the closest common meaning while respecting mandatory law.
