1. Scope and Definitions

  1. This License applies to software distributed under the Nagori Soft name together with this License.
  1. “Developer” means the person or entity that owns the applicable copyright or other rights in the Software, or is otherwise lawfully authorized to distribute the Software.
  1. “Software” means software distributed together with this License and, unless expressly subject to a different license, includes executable files, related files, accompanying documentation, and source code made available by the Developer under this License.
  1. “User” or “you” means any individual, company, organization, or other entity using the Software.
  1. You agree to this License if you affirmatively accept it through an acceptance mechanism presented with the Software or, where valid under applicable law, if you download, install, run, or otherwise use the Software after having been given a reasonable opportunity to review this License.
  1. If you do not agree to this License, you may not use the Software to the extent that such use requires permission under this License, except to the extent otherwise permitted by applicable law.

2. License Grant and Free Use

  1. Subject to compliance with this License, the Developer grants you a non-exclusive and non-transferable right to use the Software free of charge and without any time limit, unless your rights are terminated under Section 17.
  1. You may use the Software for personal, household, business, commercial, educational, research, governmental, or other lawful purposes.
  1. Business or commercial use includes use of the Software in connection with your own business, operations, education, research, or services, or those of your organization. It does not grant you the right to sell, redistribute, sublicense, or otherwise provide the Software itself to third parties.
  1. You may install and use the Software on multiple devices owned, controlled, or lawfully used by you or your organization.
  1. You may make backup copies and deploy the Software to managed devices as reasonably necessary for use by you or within your organization.
  1. Unless expressly stated in applicable Product-Specific Additional Terms, free use of the Software is not subject to a time limit, material feature restriction, or usage-count limitation.

3. Nagori Soft Contribution

  1. The Developer may offer “Nagori Soft Contribution” (“Contribution”) as a mechanism through which Users may voluntarily provide monetary support for the development, maintenance, operation, and continued availability of the Software and other software provided by Nagori Soft.
  1. Contribution is not payment in exchange for the Software, additional features, services, or other consideration, and it is not a software license.
  1. Contribution is entirely optional. Choosing not to make a Contribution does not restrict the normal free use granted under this License.
  1. Unless expressly stated otherwise, a Contribution does not grant additional features, priority or individual technical support, future updates or new Versions, additional source-code rights, copyright or other intellectual property rights, or decision-making rights concerning Nagori Soft’s operation or development direction.
  1. A Contribution Code, Contributor indicator, signed Receipt, or other confirmation or record may be provided in connection with a Contribution. These mechanisms are used to confirm or record a Contribution or to express appreciation for it. They are not license keys or feature-unlock keys required to use the normal functionality of the Software.
  1. Requests, payments, Contribution Codes, refunds, revocation, and other matters relating to Contribution are governed by the separate Nagori Soft Contribution Terms.

4. Redistribution

  1. Except for copying, backup, and internal deployment permitted under Section 2, you may not, without prior permission from the Developer:

(a) redistribute or republish the Software or copies of the Software to third parties;

(b) sell, rent, lease, sublicense, or otherwise provide the Software itself to third parties;

(c) incorporate the Software into a software distribution intended for third parties, or repackage and distribute the Software itself as another product;

(d) represent the Software, or a substantially identical copy of it, as a product developed by you or another party; or

(e) remove, conceal, or improperly alter copyright, license, or other proprietary notices contained in the Software.

  1. If you wish to recommend or share the Software with others, you may direct them to the Microsoft Store, the Nagori Soft official website, Nagori Soft official Direct Download, or another authorized source designated by the Developer.
  1. Nothing in this Section prohibits you from using the Software in connection with your own business, operations, education, research, or services, or those of your organization.

5. Source Code

  1. If the Developer publishes or otherwise provides the source code of the Software, including a source-code snapshot for a particular Version, this Section applies unless a different license is expressly stated.
  1. You may:

(a) inspect the source code and study the design, operation, or security of the Software;

(b) use the source code for technical, educational, research, or learning purposes; and

(c) copy, modify, build, and run the source code for your own use or for internal use within your organization, including research, evaluation, testing, and learning.

  1. Nothing in this License restricts your use of general knowledge, ideas, principles, methods, concepts, techniques, or other matters learned through inspection, study, or use of the source code that are not protected by copyright or other applicable law.
  1. However, without prior permission from the Developer, you may not:

(a) redistribute or republish all of the source code or any substantial portion protected by copyright or other applicable law;

(b) distribute modified source code or derivative builds to third parties;

(c) copy all of the source code or any substantial portion protected by copyright or other applicable law into another software product or other product distributed to third parties;

(d) sell, sublicense, or redistribute software itself that incorporates all of the Software’s source code or any substantial portion protected by copyright or other applicable law; or

(e) remove, conceal, or improperly alter copyright, license, or other proprietary notices contained in the source code.

  1. The fact that source code is published or otherwise made available under this Section does not, by itself, mean that the Software is distributed as open-source software.
  1. If any source file, component, or other portion of the Software is expressly made available under the MIT License, Apache License, GNU General Public License, or another separate license, that separate license governs the applicable material.

6. Analysis, Interoperability, and Statutory Rights

  1. Except as expressly permitted under Section 5 or elsewhere in this License, this License does not grant additional rights to decompile, disassemble, or otherwise reverse engineer the Software.
  1. Notwithstanding the foregoing, nothing in this License restricts any right that cannot lawfully be excluded or restricted by contract under applicable law, including, where applicable, rights relating to backup copies, observation, study or testing of the functioning of a program, or analysis necessary to achieve interoperability.

7. Third-Party Components

  1. The Software may contain open-source software or other libraries, frameworks, fonts, images, audio, or materials owned by third parties.
  1. Such third-party components are subject to the licenses and other terms established by their respective rights holders.
  1. If the terms of this License differ from the terms applicable to a third-party component, the applicable third-party terms control with respect to that component.

8. Distribution Channels and Third-Party Platforms

  1. The Software may be provided through the Microsoft Store or another app store, the Nagori Soft official website or official Direct Download, or another distribution channel designated by the Developer.
  1. If the Software is distributed through the Microsoft Store or another third-party platform, that platform’s usage rules, distribution terms, and other applicable conditions may apply in addition to this License.
  1. Differences in code-signing status, distribution format, or acquisition channel for a particular artifact do not change the rights granted under this License unless a different license is expressly stated.
  1. Nagori Soft official Direct Download may include a Portable or Setup artifact that does not carry an Authenticode code signature. Where this applies, Nagori Soft’s general policy is to disclose the signature status and the possibility of Windows warning messages on the official Download page or another appropriate location.
  1. Nothing in this License restricts rights guaranteed to you by applicable law or by mandatory terms of the applicable platform.

9. Ownership and Branding

  1. Except for the rights expressly granted under this License, all copyrights and other intellectual property rights in the Software and its source code remain with the Developer or the applicable rights holder.
  1. This License does not transfer copyright or other intellectual property rights in the Software to you.
  1. No right to use the Nagori Soft name, the names of individual Software products, logos, icons, or other branding is granted under this License except as otherwise permitted by applicable law or expressly authorized by the Developer.

10. Lawful Use

You may not use the Software for any purpose or in any manner that violates applicable law, infringes the rights of a third party, or gains unauthorized access to any third-party system, network, or data.

11. Privacy and Data

  1. If the Software processes personal information or other data, such processing is subject to applicable law, the Nagori Soft Privacy Policy, and, where provided, Product-Specific Privacy Information or another notice applicable to that Software.
  1. Nothing in this License waives or restricts any right provided to you by applicable privacy or data-protection law.

12. Updates, Maintenance, and Support

  1. Unless separately and expressly agreed, the Developer has no obligation to continue providing updates, corrections, maintenance, new features, or technical support for the Software.
  1. The Developer may modify or discontinue the development, distribution, updating, or support of the Software.
  1. If the Software includes an update-check function, communications and data handling associated with that function will be described in applicable Product-Specific Privacy Information.
  1. Nothing in this Section excludes any obligation imposed on the Developer by applicable law or any other commitment expressly made by the Developer.

13. Disclaimer of Warranty

  1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
  1. Unless expressly warranted by the Developer or required by applicable law, the Developer does not warrant that the Software will be fit for a particular purpose, operate continuously or without interruption, be complete or accurate, be compatible with any particular environment or device, preserve data, or be free from defects, failures, or security vulnerabilities.
  1. Nothing in this Section excludes or restricts any warranty, condition, guarantee, or other right that cannot lawfully be excluded or restricted under applicable law.

14. Limitation of Liability

  1. The Developer is not liable for damage caused by circumstances not attributable to the Developer.
  1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, where damage results from the Developer’s ordinary negligence, the Developer will not be liable for special, indirect, incidental, or consequential damages, lost profits, loss of business opportunity, loss of data, or business interruption, except to the extent such liability cannot lawfully be excluded or restricted.
  1. The limitations in this Section do not apply to intentional misconduct or gross negligence by the Developer, liability for death or personal injury where such liability cannot lawfully be limited, or any other liability that applicable law does not permit to be excluded or restricted.

15. Mandatory Law and Statutory Rights

  1. Nothing in this License excludes, waives, or restricts any right, remedy, guarantee, protection, or obligation that cannot lawfully be excluded, waived, or restricted by contract under applicable law.
  1. If any provision of this License conflicts with a mandatory provision of applicable law, that mandatory provision will prevail only to the extent of the conflict.

16. Product-Specific Additional Terms

  1. The Developer may establish separate product-specific terms, additional terms, or other special terms (“Additional Terms”) for a particular Software product, Version, feature, distribution method, transaction, or service.
  1. Where Additional Terms apply, the Developer will make those Additional Terms reasonably available to you before the applicable use or transaction begins.
  1. Where Additional Terms apply, those Additional Terms and this License together govern the applicable Software product, Version, feature, distribution method, transaction, or service.
  1. If any provision of the Additional Terms conflicts with this License, the Additional Terms prevail only to the extent expressly specified in those Additional Terms.
  1. In all other respects, this License continues to apply.

17. Termination

  1. If you violate this License or applicable Additional Terms and the violation is reasonably capable of cure, the Developer may require you to cure the violation within a reasonable period and may terminate your rights under this License if you fail to do so within that period.
  1. The Developer may terminate your rights immediately in the case of a serious violation or a violation that, by its nature, cannot reasonably be cured.
  1. Upon termination, you must cease using the Software and cease any other activity requiring permission under this License, except to the extent otherwise permitted by applicable law.
  1. Sections 7, 9, 13 through 15, 19 through 21, and any other provision that by its nature should survive termination will remain effective after termination.

18. Changes to This License

  1. The Developer may revise this License or apply different license terms to future Versions of the Software.
  1. Unless you separately agree to new terms or applicable law permits otherwise, the license terms that applied when you lawfully obtained a particular Version of the Software will continue to govern that Version.
  1. The Version number of this License is independent of the Version number of the Software.

19. Severability

If any provision of this License is held to be invalid, unlawful, or unenforceable under applicable law, that provision will be applied to the maximum extent permitted in a manner that most closely reflects its intended purpose, or disregarded only to the extent necessary, and the remaining provisions will remain in effect, unless applicable law requires otherwise.

20. Governing Law and Jurisdiction

  1. This License is governed by and construed in accordance with the laws of Japan, without regard to conflict-of-laws principles.
  1. Any dispute arising out of or relating to this License or the Software will be subject to the jurisdiction of a court in Japan having jurisdiction under Japanese law.
  1. Notwithstanding the foregoing, nothing in this Section deprives you, particularly if you are a consumer, of any mandatory protection concerning applicable law, jurisdiction, remedies, or other rights provided by the law of your habitual residence or any other applicable jurisdiction that cannot lawfully be waived or restricted by contract.

21. Language

  1. Both the Japanese and English versions of this License are authoritative versions.
  1. The two language versions are intended to have the same content and legal effect.
  1. If there is any difference in wording or question of interpretation between the Japanese and English versions, they will be read together and interpreted in the manner that best gives effect to their common intent. Where applicable law requires a particular treatment, that law will apply.
